1. INTRODUCTION

Welcome to DISASHI STUDIO(Pty) Ltd. These Terms and Conditions govern your use of our Website and the purchase, delivery, and warranty of our luxury chairs and related services offered by DISASHI STUDIO(Pty) Ltd, a company registered with the CIPC and SARS Enterprise Number: 2025/557715/07, incorporated in accordance with the laws of the Republic of South Africa (hereinafter referred to as "DISASHI STUDIO", "we", "us", or "our").

By accessing our Website, communicating with us via WhatsApp, email, or any other means, or purchasing our products, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, which together with our Privacy Policy form the entire agreement between you and Disashi.

2. DEFINITIONS

In these Terms and Conditions, unless the context clearly indicates otherwise:

2.1. "Customer" or "you" means any person who accesses the Website for any purpose or purchases products from DISASHI STUDIO;

2.2. "Products" means any luxury chairs or furniture items manufactured and sold by DISASHI STUDIO;

2.3. "Custom Products" means Products that are made to the Customer's specifications or are clearly personalized;

2.4. "Order" means a request made by the Customer to purchase a Product;

2.5. "Intellectual Property" means all patents, rights to inventions, copyright and related rights, trademarks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, and any other intellectual property rights, in each case whether registered or unregistered;

2.6. "Business Day" means any day other than a Saturday, Sunday, or public holiday in the Republic of South Africa.

3. PRODUCTS AND PRICING

3.1. Product Information: While we make every effort to ensure that product descriptions, dimensions, materials, and images displayed on our Website are accurate, we do not warrant that such information is error-free. Natural materials may vary in color, grain, and texture, and final products may differ slightly from images shown on the Website.

3.2. Custom-Made Nature: Each Disashi chair is custom-made and upholstered according to customer specifications. We do not provide upholstery materials, and customers must source their own fabrics for upholstery.

3.3. Pricing: All prices displayed on our Website are in South African Rand (ZAR) and Exclude Value Added Tax (VAT) at the applicable rate. Prices exclude delivery charges, which will be separately quoted based on location and delivery requirements.

3.4. Price Changes: We reserve the right to change the prices of our Products at any time without prior notice. Any price change will not affect Orders that have already been confirmed.

3.5. Quotations: Quotations are valid for a period of 30 days from the date of issue unless otherwise stated. After this period, quotations may be subject to revision.

4. ORDERING PROCESS

4.1. Order Placement: Orders may be placed through our Website, via email to sales@disashistudio.co.za, or by contacting us via WhatsApp at +27 74 959 7667.

4.2. Order Confirmation: An Order is only deemed accepted when we have confirmed acceptance in writing via email or other written communication. We reserve the right to decline any Order at our sole discretion.

4.4. Order Modifications: Once production has commenced, any changes to your Order (including design specifications, fabric choices, or delivery details) may incur additional charges and extend the estimated delivery timeframe.

4.5. Cancellation by Customer: You may cancel an Order within 7 (seven) days of placing it, provided that production has not yet commenced. Cancellations must be made in writing to info@disashistudio.co.za. If production has already begun, or if the Product is a Custom Product, cancellation may not be possible, and the deposit will not be refunded.

4.6. Cancellation by Disashi: We reserve the right to cancel any Order at our discretion, including but not limited to situations where:

If we cancel your Order, we will promptly notify you and refund any payments made in connection with the Order.

5. PAYMENT TERMS

5.1. Payment Methods: We accept payment via electronic funds transfer (EFT), credit card, or other methods as specified at the time of purchase.

5.3. Secure Transactions: All credit card transactions are secure and encrypted. We do not store credit card details nor do we share customer financial details with any third parties.

5.4. Price Errors: If a Product is listed at an incorrect price due to a typographical error or an error in pricing information, we reserve the right to refuse or cancel Orders for the Product listed at the incorrect price, regardless of whether the Order has been confirmed or payment has been received.

6. PRODUCTION AND DELIVERY

6.1. Production Timeframes: Each Disashi chair is handcrafted and made to order. Standard production time is approximately 3-5 weeks from receipt of deposit and confirmation of all specifications, including receipt of customer-supplied upholstery fabric. This timeframe is an estimate only and may vary based on current production volumes, complexity of the design, and availability of materials.

6.2. Delivery Options: We offer delivery services throughout South Africa. International shipping may be available upon request and will be quoted separately.

6.3. Delivery Charges: Delivery fees are not included in the Product price and will be quoted separately based on location, distance, and accessibility. Delivery to remote areas may incur additional charges.

6.4. Delivery Timeframes: We will provide an estimated delivery date when your Order is confirmed. While we strive to meet these timeframes, delays may occur due to unforeseen circumstances. We will communicate any significant changes to the estimated delivery schedule.

6.5. Collection Option: Customers may arrange to collect their Products from our designated collection points by prior appointment.

6.6. Risk and Ownership: Risk in the Products passes to you upon delivery. Ownership of the Products remains with Disashi until payment has been received in full.

6.7. Inspection Upon Delivery: Customers must inspect all Products upon delivery or collection and report any visible defects, damage, or discrepancies within 48 hours of receipt. Failure to do so may affect your rights to return or exchange the Product.

7. VIEWINGS AND SHOWROOM

7.1. No Physical Showroom: Disashi does not maintain a permanent physical showroom. However, we collaborate with partners in Sandton and other locations to provide viewing opportunities.

7.2. Arrangement of Viewings: To see examples of our craftsmanship, customers may request a viewing by contacting us via email or WhatsApp. We will arrange a convenient viewing location near you where available.

7.3. Appointment-Only Basis: All viewings are by appointment only and subject to availability.

8. WARRANTY AND RETURNS

8.1. Quality Guarantee: All Disashi Products are crafted with exceptional attention to detail and undergo rigorous quality control. We stand behind the craftsmanship of our Products.

8.2. Warranty Period: Our Products are covered by a 5-year limited structural warranty from the date of delivery, covering defects in materials and workmanship under normal use.

We will assess the claim and determine the appropriate remedy, which may include repair, replacement, or partial refund at our discretion.

8.5. Custom Products: As our chairs are custom-made to order, returns or exchanges are not accepted for reasons of change of mind, incorrect measurements provided by the customer, or fabric selection regrets.

8.6. Repair Costs: Repairs not covered by warranty will be quoted separately and require customer approval before commencement.

9. CARE AND MAINTENANCE

9.1. Care Instructions: Each Product is accompanied by specific care and maintenance instructions. Failure to follow these instructions may void your warranty.

9.2. Professional Cleaning: We recommend professional cleaning for all upholstered Products to maintain their appearance and extend their lifespan.

9.3. Environmental Conditions: Products should be kept away from direct sunlight, heat sources, and damp environments to prevent damage to materials and finishes.

10. INTELLECTUAL PROPERTY

10.1. Ownership: All Intellectual Property rights in and to the Website, Products, designs, logos, and content belong to Disashi or its licensors.

10.2. Restricted Use: No content from the Website may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without our express prior written consent.

10.3. Product Designs: The designs of our Products are proprietary and protected by intellectual property laws. Copying or replicating our designs is strictly prohibited.

11. LIMITATION OF LIABILITY

11.1. Maximum Liability: To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with these Terms and Conditions, the Website, or any Product, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total amount paid by you for the Product(s) that are the subject of the claim.

13. FORCE MAJEURE

13.1. Definition: For purposes of these Terms and Conditions, "Force Majeure Event" means an event beyond the reasonable control of Disashi including but not limited to strikes, lock-outs or other industrial disputes, failure of a utility service or transport network, acts of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm, or default of suppliers or subcontractors.

13.2. Effect on Obligations: We shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions to the extent that such failure or delay is caused by a Force Majeure Event.

13.3. Notifications: If affected by a Force Majeure Event, we will notify you as soon as reasonably possible and take reasonable steps to minimize the effect of the delay or failure.

14. GOVERNING LAW AND JURISDICTION

14.1. Governing Law: These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of South Africa.

14.2. Jurisdiction: You and Disashi irrevocably agree that the courts of the Republic of South Africa shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or their subject matter or formation (including non-contractual disputes or claims).

15. CONSUMER PROTECTION ACT

15.1. Application: If you are a consumer as defined in the Consumer Protection Act 68 of 2008 ("CPA"), these Terms and Conditions do not affect your statutory rights under the CPA.

15.2. Conflicts: If any provision of these Terms and Conditions conflicts with the CPA, the provision of the CPA shall prevail.

16. COMPLAINTS PROCEDURE

16.1. Complaint Submission: If you have a complaint about any aspect of our Products or services, please contact us at info@disashi.co.za with full details.

16.2. Response Timeframe: We aim to acknowledge all complaints within 2 Business Days and provide a substantive response within 10 Business Days.

16.3. Resolution Process: We will investigate your complaint and respond with our findings and proposed resolution. If you are not satisfied with our response, you may have recourse to external dispute resolution mechanisms under South African law.

17. CHANGES TO TERMS AND CONDITIONS

17.1. Updates: We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting the updated Terms and Conditions on the Website.

17.2. Notification of Changes: Material changes to these Terms and Conditions will be communicated via the Website. Your continued use of the Website or purchase of Products after such changes constitutes your acceptance of the revised Terms and Conditions.

17.3. Applicability to Orders: The Terms and Conditions in effect at the time you place an Order will apply to that Order, unless otherwise required by law.

18.1. Entire Agreement: These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Disashi regarding the subject matter hereof and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

Severability: If any provision of these Terms and Conditions is found by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification to or deletion of a provision shall not affect the validity and enforceability of the rest of these Terms and Conditions.

18.3. No Waiver: No failure or delay by Disashi to exercise any right or remedy provided under these Terms and Conditions or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy.

18.4. Assignment: You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms and Conditions without our prior written consent. We may assign, transfer, or sub-contract any of our rights or obligations under these Terms and Conditions at any time.

18.5. Relationship: Nothing in these Terms and Conditions creates any partnership, joint venture, agency, or employment relationship between you and Disashi.

18.6. Third-Party Rights: No third party shall have any rights to enforce any terms contained herein.
